Affiliate Programme Agreement

This Affiliate Programme Agreement ("Agreement") is between Cincht ("Company", "we", "us") and you ("Affiliate", "Partner"). By completing the affiliate registration process or by participating in the programme, you agree to be bound by this Agreement. The Cincht Affiliate Programme allows approved partners to earn commission by referring new paying customers to Cincht's WhatsApp Business platform and related products.

To participate in the Cincht Affiliate Programme you must: • Be at least 18 years of age • Have a valid website, social media channel, newsletter, or other promotional platform • Not reside in a country on Cincht's restricted country list • Complete and submit an affiliate application that is approved by Cincht • Comply with all applicable laws, including advertising disclosure requirements

Approved affiliates earn recurring commissions on each valid referral's paid subscription: • Starter Tier (0–10 active referrals): 20% recurring commission for 12 months • Growth Tier (11–50 active referrals): 25% recurring commission for 12 months • Champion Tier (51+ active referrals): 30% recurring commission for the lifetime of the subscription Tier status is evaluated on the first day of each calendar month based on your number of currently active (paying) referrals. Tier downgrades take effect the following month.

Referrals are tracked via a unique referral link containing your referral code. A cookie with a 90-day attribution window is set when a prospective customer clicks your link. If the customer subscribes within 90 days of first click, the referral is attributed to you. Self-referrals (referring yourself or accounts you control) are strictly prohibited and will result in commission reversal and possible account termination.

Affiliates may NOT: • Use pay-per-click or pay-per-impression advertising that bids on Cincht brand terms • Use cookie stuffing or other cookie manipulation techniques • Impersonate Cincht or create websites that could be confused with Cincht's official website • Send unsolicited bulk email (spam) • Promote Cincht on websites containing illegal, adult, or harmful content • Make false or misleading claims about Cincht products • Use discount codes or coupons not explicitly provided by Cincht Violation of any prohibited activity may result in immediate termination without payment of outstanding commissions.

Commissions are calculated on the 1st of each month for the previous month's confirmed, non-refunded subscriptions. Payments are made within 10 business days of calculation. Minimum payout threshold: USD $100 with a minimum of 3 approved conversions per payout cycle. Available payout methods: Bank transfer, PayPal, Payoneer. Cincht reserves the right to add or remove payout methods at any time. Commissions are reversed for any subscription that is refunded, charged back, or cancelled within the applicable refund period.

This Agreement begins when your affiliate application is approved and continues until terminated by either party. Cincht may terminate this Agreement immediately, without notice, if you breach any provision of this Agreement. Upon termination, any unpaid commissions on confirmed subscriptions will be paid at the next regular payment cycle, subject to the minimum threshold. Commissions on subscriptions that are reversed after termination will be forfeited.

Cincht grants you a limited, non-exclusive, revocable licence to use Cincht's name, logo, and approved marketing materials solely for the purpose of promoting the Cincht Affiliate Programme. You may not alter, modify, or create derivative works from Cincht's brand assets without prior written consent.

Cincht provides the affiliate programme "as is" without warranties of any kind. To the maximum extent permitted by law, Cincht shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the programme.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Cincht is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration.

Cincht reserves the right to modify this Agreement at any time. We will notify affiliates of material changes via email or in-portal notification. Continued participation in the programme after the effective date of changes constitutes acceptance of the revised Agreement.
